PRISM BioLab Co., Ltd. (the “Company”) is committed to the timely and appropriate disclosure of corporate information to all stakeholders, including shareholders and investors, based on the principles of transparency, fairness, and continuity.

Disclosure Standards

The Company discloses information in a timely and appropriate manner in accordance with the Companies Act of Japan, the Financial Instruments and Exchange Act of Japan, other applicable laws and regulations, and the rules and regulations concerning timely disclosure established by the Tokyo Stock Exchange, Inc. (the “Timely Disclosure Rules”).
The Company considers any undisclosed material information concerning its operations, business, or assets that may have a significant impact on investors’ investment decisions to be “Material Information,” and ensures that such information is disclosed fairly and impartially.
In addition to information required to be disclosed under applicable laws, regulations, and the Timely Disclosure Rules, the Company endeavors to proactively and fairly disclose information that it considers important to its business activities.

Methods of Disclosure

Information subject to the Timely Disclosure Rules is disclosed through the Timely Disclosure network (“TDnet”) operated by the Tokyo Stock Exchange. Following disclosure through TDnet, the Company promptly provides the information to the media and completes any other disclosure procedures required under applicable laws, regulations, and rules.
The Company also endeavors to communicate information that is not subject to the Timely Disclosure Rules but is considered useful in helping shareholders and investors understand the Company. Such information is made available as broadly and fairly as possible through appropriate means, including publication on the Company’s website.

Forward-Looking Statements

Any forecasts concerning the Company’s financial performance are prepared based on information available and assumptions considered reasonable at the time of disclosure. Actual results may differ materially from such forecasts due to various factors.

Quiet Period

As a general rule, the Company observes a “Quiet Period” from the end of each fiscal quarter until the date on which the financial results for that quarter are announced. During this period, the Company refrains from commenting on or responding to inquiries regarding the financial results for the relevant quarter. However, this restriction does not apply when the Company discloses management-related information that may have a material impact on its financial results.
